Governance and Legal Support Officer

This role will provide company secretarial, paralegal and administrative support to the ANZ Legal and Governance Function.

Key responsibilities

  • Company Secretarial Support for all ANZ legal statutory entities including creation and distribution of board agendas, minutes, resolutions and supporting docs.
  • Monitoring of agreed actions and follow up
  • Proactive creation and maintenance of an annual calendar of academic meeting dates.
  • Statutory Entity administration
  • Support for Risk Governance and Academic Governance when required.
  • Intellectual property management
  • Paralegal support on a project basis.

Required qualifications and training

  • 3+ years Corporate Secretarial and Governance experience
  • Governance qualification such as Chartered Secretary or Certificate in Governance Practice from Governance Institute of Australia
  • In-depth understanding of corporate governance process and procedure including provisions of Corporations Law relating to statutory filings and corporate entity governance.
  • Prior experience of undertaking ASIC filings and returns. Experience with the NZ Companies Office would also be highly regarded.
  • Well-developed interpersonal skills with proven ability to liaise, consult and negotiate with key stakeholders and colleagues
  • High-level organisation skills – ability to prioritise work requirements and ability to work autonomously with minimal supervision
  • Demonstrated initiative and attention to detail
  • Strong commitment to confidentiality.
  • Ability to multi-task, remain commercially focused and upbeat.
